20% Off E-Learning Module – Sale Terms and Conditions

1. Offer Details:

This promotion provides a 20% discount on the total annual licence fee for access to the specified e-Learning module(s), calculated in accordance with the number of licences purchased. No additional volume discounts apply unless expressly agreed in writing.

2. Bespoke Work:
This promotional discount applies only to the standard off-the-shelf version of the e-Learning module(s). Any bespoke adaptations — including but not limited to custom branding, organisation-specific content, new interactive elements, or tailored reporting — are excluded from the discount and will be quoted separately.

3. Licence Scope:
The licence is granted to a single legal entity (e.g. an NHS Trust, private healthcare provider, charity, or public sector organisation) and permits internal use only. The module(s) will be hosted on the organisation’s own learning management system (LMS) via a SCORM or xAPI file provided. The licence is non-transferable and may not be shared across separate legal entities, subsidiaries, or partner organisations. If an LMS is not already in place, a suitable platform can be purchased separately (not included in this promotion).

4. Licence Period:
The licence is valid for 12 months from the date the SCORM or xAPI package is delivered or from an agreed start date. Delays in implementation or upload by the client will not extend the licence period. Renewal is optional and charged at the standard rate unless a new promotion is offered.

5. Module Updates:
Each e-Learning module is provided in an off-the-shelf format. During the 12-month licence period, escalla will supply revised versions free of charge where clinical content is deemed inaccurate or out of date (e.g. in light of updated NICE guidance or other official sources).
Updates to licensed modules relating to accessibility, platform compatibility, design enhancements, or additional features or content (not directly linked to clinical accuracy) will be made available to contracting organisations on a best-efforts basis. While escalla aims to provide all relevant updates as promptly as possible, we are not contractually obliged to do so prior to the organisation’s renewal date.

6. Eligibility:
This offer is valid for the purchase of any UKST e-Learning module supplied by escalla, provided the procuring organisation has not licensed the same module within the past 24 months. Eligibility will be assessed based on the organisation name and contracting entity. In the event of organisational restructuring or a name change (e.g. NHS Trust mergers), escalla reserves the right to determine whether the discount applies at its sole discretion. This discount cannot be combined with other offers unless agreed as part of a multi-year contract.

7. Payment Terms:
Full payment must be received within 30 days of invoice, unless otherwise agreed. Access to the content will be withheld or restricted until payment is received in full. Delivery of the SCORM or xAPI file constitutes acceptance of these terms and the licence.
